Contracts

If you wish to initiate cooperation with an external partner, the lawyers at SDU RIO can help to prepare the contract and provide support in connection with contract negotiations.

SDU RIO ensures that all agreements comply with the applicable laws and regulations - including the special provisions that SDU is subject to as a university. In addition, our lawyers will ensure that only persons who have the authority to sign contracts on behalf of SDU may sign agreements.

There are many different types of agreement. We have briefly outlined the most common types of agreement below.

Contracts

There are many different types of cooperation agreement, but common to them all is that the contracts specify which services the parties shall contribute with, as well as what rights and obligations the parties have.

A cooperation agreement also specifies:

  • A framework for the finances of the cooperation.
  • Provisions regarding the right to publish.
  • Who has the right to use the result.

An MTA includes an agreement on the transfer of a physical material to be used in the research – such as biological material, cell lines, chemical substances or the like.

The purpose of the agreement is to clarify the conditions for the use of the material, as well as to create clarity regarding the rights and obligations of the parties.

Cooperation often involves exchanging confidential information. It is often the case that a business partner is required to conclude an agreement of confidentiality before negotiations regarding cooperation commence.

An NDA aims to ensure that confidential information can be freely exchanged between the two parties to the agreement - with the assurance however that the information will remain confidential and not be disclosed.
